End User Licence Agreement

Last updated 19 September 2026. Effective from first public release.

This is the licence under which Clanelite LLC lets you use Zeroly. It sits alongside the Terms of Service and the Privacy Policy, which also apply. Where this licence and the Terms of Service say different things about the licence itself, this document governs.

1. Acknowledgement

This agreement is between you and Clanelite LLC only, and not with Apple. Apple is not responsible for Zeroly or its contents. Clanelite LLC, not Apple, is solely responsible for Zeroly.

This agreement does not provide for usage rules for Zeroly that conflict with the Apple Media Services Terms and Conditions in force at the date you obtain it. Clanelite LLC acknowledges that it has had the opportunity to review those usage rules and that they apply to you.

2. Scope of the licence

Clanelite LLC grants you a non-transferable licence to use Zeroly on any Apple-branded product that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, and as those rules may be updated. The licence is personal to you.

Zeroly is licensed to you, not sold. You may not redistribute it, rent, lease, lend, sell or sublicense it, and you may not copy it except as the Usage Rules allow. You may not reverse engineer, decompile or disassemble it, or attempt to derive its source code, except to the extent that applicable law expressly permits despite this limitation.

Zeroly includes a paid subscription, Zeroly Plus. Its terms — what it includes, what it costs, how it renews and how to cancel — are in section 6 of the Terms of Service. Purchases are made through your Apple Account and handled by Apple, not by us.

Zeroly does not move money and balances in it are not legally binding debts. It records what people agreed. See section 2 of the Terms of Service.

3. Content and conduct

Zeroly lets people write things other members of a group can read — expense descriptions, comments, notes, whiteboards, group names — and lets them add photos. You are responsible for what you add and you confirm you have the right to add it.

In addition to the zero-tolerance rule stated above, you agree not to use Zeroly to:

• Harass, threaten, defame, stalk or impersonate anyone.
• Post unlawful, hateful, sexually explicit or exploitative content.
• Record transactions for illegal activity.
• Break, probe or overload the service, or reach data that is not yours.
• Scrape the service by automated means, or resell access to it.

We may remove content and suspend or terminate accounts that breach this section, at our sole discretion and without refund. Reporting is available on every piece of user-written content, and blocking is available on every person. Contact us at support@zeroly.app.

4. Maintenance and support

Clanelite LLC is solely responsible for providing maintenance and support for Zeroly, as this agreement requires or applicable law obliges. Apple has no obligation whatsoever to furnish any maintenance and support services for Zeroly.

5. Warranty

Clanelite LLC is solely responsible for any product warranties, whether express or implied by law, to the extent they have not been effectively disclaimed. The warranty disclaimer in section 9 of the Terms of Service applies here in full.

In the event of any failure of Zeroly to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for Zeroly to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to Zeroly. Any other claims, losses, liabilities, damages, costs or expenses attributable to a failure to conform to a warranty are the sole responsibility of Clanelite LLC.

6. Product claims

Clanelite LLC, not Apple, is responsible for addressing any claims by you or any third party relating to Zeroly or your possession and use of it, including: product liability claims; any claim that Zeroly fails to conform to any applicable legal or regulatory requirement; and claims arising under consumer protection, privacy or similar legislation, including in connection with Zeroly's use of the HealthKit and HomeKit frameworks — which Zeroly does not use.

This agreement does not limit Clanelite LLC's liability beyond what applicable law permits. The limitation in section 10 of the Terms of Service applies.

7. Intellectual property

In the event of any third party claim that Zeroly or your possession and use of it infringes that third party's intellectual property rights, Clanelite LLC — not Apple — will be solely responsible for the investigation, defence, settlement and discharge of that claim.

8. Legal compliance

You represent and warrant that you are not located in a country subject to a US Government embargo, or that has been designated by the US Government as a "terrorist supporting" country, and that you are not listed on any US Government list of prohibited or restricted parties.

9. Termination

This licence is effective until terminated. It terminates automatically, without notice, if you fail to comply with any of its terms — and in particular with section 3. It also terminates when you delete your account in the app (Account → Delete account; see what deletion does). On termination you must stop all use of Zeroly. Sections 5 to 8 and 11 survive termination.

10. Third party terms

You must comply with applicable third party terms of agreement when using Zeroly. Your use of Zeroly is also subject to Apple's App Store terms.

11. Third party beneficiary

Clanelite LLC and you acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of this agreement, and that upon your acceptance of its terms and conditions Apple will have the right — and will be deemed to have accepted the right — to enforce this agreement against you as a third party beneficiary of it.
